SoftBank Launches $11 Billion Junk Bond Sale for OpenAI in One of Largest Debt Deals

Citi and JPMorgan are leading a multi part debt offering for SoftBank to fund a $10 billion payment to OpenAI due Oct. 1. The issuance consists of $10 billion in dollar notes and €1 billion in euro bonds, replaces a $10 billion bridge facility, and is scheduled for pricing on Sept. 24. Dollar bonds feature maturities of 3.5, 5.5, and 7.5 years, while euro maturities are set at 4 and 6 years, with settlement on Sept. 29.

The total sale would rank among the largest junk bond deals ever by a single company if completed at the requested size. Total capital commitments from Masayoshi Son's conglomerate to the AI developer have reached nearly $65 billion, which would grant SoftBank a roughly 13% stake in OpenAI once the current transaction closes.
